Terms of service.

1. About these terms

These terms govern the purchase and use of Leadz, provided by Noetic Laboratories (OPC) Private Limited ("Noetic", "we"), Pandian Nagar, East Coast Road, Vettuvankeni, Chennai 600115, to a business ("you"). By buying, installing or using Leadz you agree to them. If we have a signed agreement or written quote with different terms, that document prevails where it differs.

2. What you get

Self-hosted licence

For a one-time fee (currently Rs 20,000, plus any applicable taxes), we grant you a non-exclusive, non-transferable licence to run Leadz on your own computer or server, for your own business, for as many people as you like. The licence is tied to one installation. It does not allow you to resell, sublicense, or provide Leadz to other businesses, or to copy or reverse engineer it except as the law allows.

We install it for you remotely, pair your phones, import your customers, and show your team how to use it. The licence has no expiry.

Updates (optional)

Updates and support after setup are optional at Rs 1,000 a month. If you do not take them, or stop, Leadz keeps working and you keep the version you have, with all your data. You will not receive new versions.

Cloud plan

On the cloud plan we host a private copy of Leadz for you and keep it updated. It is billed monthly based on the number of people and storage, and includes 4 GB of recordings. You can ask for a quote at any time; we send one within a day. You can stop at any time. Fees already paid for a month in progress are not refunded, and you can export your data before the plan ends. 3. Support

Support covers remote setup, a short training session for your team, and reasonable help by email and WhatsApp during Indian business hours (we usually reply within one working day). It does not include on-site visits, custom development, data entry, or fixing problems caused by your hardware, network, phones or other software. Help beyond this scope may be quoted separately.

4. Phones and recording

Leadz works with Android phones and does not support iPhone. Leadz does not record audio itself. Recording is done by the phone, and whether it is possible depends on the phone's brand, model and software version. Before you pay, you can ask us to check your phones; see Will it work on my phones. Because phone makers and Android versions change, we cannot guarantee that a phone that records today will keep recording after a system update.

5. Your responsibilities

• You are responsible for telling people when a call may be recorded, for getting any consent the law requires, and for following the laws that apply to you, including the Digital Personal Data Protection Act, 2023 and telecom and consumer rules. See our recording consent guide. This is not legal advice, and you should consult an adviser.
• You are responsible for the accuracy and lawfulness of the data you put into Leadz.
• For self-hosted installations, you are responsible for the computer it runs on: security, updates to the operating system, power, network and backups.
• Keep your sign-in credentials and authenticator devices secure, and tell us if you think they have been compromised.

6. Acceptable use

You will not use Leadz to harass, threaten or deceive people; to send unsolicited commercial communications in breach of the rules on unsolicited commercial communication; to record or store calls unlawfully; to store material that is unlawful; to attempt to break or bypass its security; or to interfere with the service we provide to others. We may suspend a cloud account that breaks this section after giving notice where practicable.

7. Payment, and no refund after delivery

Fees are payable as quoted, before setup begins unless we agree otherwise in writing. Taxes are extra where applicable.

We want you to be sure before you pay, so before purchase we offer a demo with a few of your own customers and a phone check, by phone or WhatsApp, to confirm that your phones can record calls. Because Leadz is software that we install and configure for you, and because you can see it and test your phones first, fees are not refundable once setup has been delivered.

If we are unable to complete setup because of a fault on our side, we will refund what you paid for the part not delivered. Monthly fees for updates or the cloud plan already paid for a month in progress are not refunded, but you can cancel before the next month. Nothing in this section limits rights you have under law that cannot be excluded by contract.

8. Ownership

Leadz, including its code, design and name, remains the property of Noetic. Your data, including your customer records and recordings, remains yours. You give us permission to process it only as needed to provide the service you have bought.

9. Warranty and liability

We will provide Leadz and support with reasonable care. Otherwise, Leadz is provided as is, and to the extent the law allows we do not give any other warranty, including that it will be uninterrupted or error free, or that every phone will record every call.

To the extent the law allows, Noetic is not liable for indirect or consequential loss, or for loss of profits, business, customers or data. Our total liability to you for any claim relating to Leadz is limited to the amount you paid us in the 12 months before the claim arose (for the one-time licence, the licence fee). Nothing in these terms excludes liability that cannot be excluded by law.

10. Ending the agreement

You can stop using Leadz at any time. We may end a licence or cloud plan if you materially breach these terms and do not fix the problem after notice. Sections that by their nature should continue (ownership, liability, governing law) continue after the agreement ends.

11. Changes

We may update these terms. The date at the top shows when. Changes do not apply retroactively to a licence you already bought without your agreement, except where needed to comply with law.

12. Governing law and courts

These terms are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction over any dispute, after the parties have first tried in good faith to resolve it by talking to each other.
